The statutory changes designed so far reduce the power of the investor, Sports Media Entertainment, and increase the strength of the clubs in several aspects - from voting for decision-making in the condominium committee, to financial and commercial management.
STRATEGIC ITEMS
The proposal to which the report had access currently has 24 blocks of changes that affect several clauses of the statute.
Regarding specifically the creation of a new league, the Brazilian's naming rights, collective sponsorship opportunities and the league's Intellectual property rights no longer belong exclusively to the condominium and now belong to the league and the clubs, under the league's own governance.
In fact, a new clause emphasizes that decisions on the league's statute and governance will be the exclusive and autonomous responsibility of the clubs, without the need for the investor's consent and without granting them additional rights or prerogatives.
Another point affected is the removal of the clauses that provided for the investor's option to purchase part of the field properties from the clubs.
The proposal goes further and adds a hypothesis -which in practice, is on the horizon- for the extinction of the condominium. What it is? "The effective formation of a unified league of Brazilian football clubs".
In this case, according to a clause that was maintained in the text, the definition is that the rights negotiated with the investor would return to the "exclusive property of the clubs".
The document was formulated by a commission whose creation was approved at the last assembly and includes club representatives. The idea is to submit the text soon for approval by condominium members.
MORE POLITICAL STRENGTH
According to the proposal to reform the statute, the condominium committee remains with seven members, but the proportion has changed: clubs now nominate six members and no longer five. On the other hand, the investor is now entitled to just one seat and no more two.
The minimum quorum for committee meetings was also reduced from 90% to 75% of the parties. With this, the clubs would gain space to make strategic decisions, even in the absence of the investor's representative.
Another point that empowers the clubs, if the proposal comes into force, is to take away from the investor the prerogative of hiring the person who manages the condominium and also the company/team responsible for the commercial part.
This could represent a risk for Gabriel Lima, current administrator of the block, and Live Mode, which sells broadcasting rights.
