The processes involve stores located in shopping centers and other commercial properties, in addition to logistics warehouses. In documents presented to the Court in the request for judicial recovery, the retailer states that preserving rental contracts is essential for its financial survival.

Contacted by Folha since Wednesday morning (19) via email and cell phone, Casas Bahia did not respond until the publication of this report. One of the cases taken to court involves two logistics warehouses occupied by Casas Bahia - in Contagem (MG) and in São José dos Pinhais (PR) - and belonging to HSI Logística, a real estate fund administered by Apex Group and managed by HSI.

In a relevant fact released on Tuesday (18), HSI reported that the rents for July had been paid in full, but the amounts due in August had not yet been paid.

The manager said she had notified Casas Bahia about the default and stated she was prepared to take the necessary measures to preserve the fund's rights, including a possible eviction action.

These two properties were included by Casas Bahia in the request for judicial recovery among those considered essential to the continuity of the operation. The retailer had not, until then, expressed an intention to terminate the contracts or vacate the properties, according to HSI. In the statement to the market, the fund points out, however, that until then there had been no court decision on the recovery request.

Casas Bahia is also facing eviction actions due to non-payment filed in cities such as Osasco, Mogi das Cruzes, Cubatão, Guarujá, Diadema, Santo André, Jundiaí, Itatiba, Piracicaba, São Bernardo do Campo, Taboão da Serra, Marília, Itapevi, Ubatuba, Votorantim and Guarulhos, in addition to different regions of the capital of São Paulo. Two lawsuits are filed by shopping centers.

Lawyers consulted by the report state that the existence of dozens of eviction actions, however, does not allow us to conclude, in isolation, that Casas Bahia will lose its store network.

It is necessary to separate ongoing processes from actually completed evictions and check, in each case, whether the debt is prior or subsequent to the recovery and how important that property is to the operation.

Judicial recovery does not create automatic protection for the properties where Casas Bahia maintains its operations. Although the process suspends, under certain conditions, executions and acts of constriction against the company's assets, the rented properties belong to the landlords and may be the subject of eviction actions.

Segundo Rafael Verdant, sócio do contencioso cível do Albuquerque Melo Advogados e especialista em direito imobiliário, esse tipo de ação pode continuar tramitando na Justiça comum mesmo após o pedido de recuperação judicial.

A situação é diferente quando se trata de uma dívida anterior ao pedido de restruturação: o valor devido pelo aluguel pode ficar sujeito às condições do plano, mas isso não significa necessariamente que a empresa ficará protegida contra a retomada do imóvel.

O ponto mais sensível para uma varejista em recuperação é o aluguel que vence depois do pedido. Essas obrigações correntes, em regra, não entram no plano de recuperação e precisam continuar sendo pagas. "Se o caixa está apertado, é aí que costuma ocorrer a ruptura", afirma Verdant.

A chamada essencialidade do imóvel também não representa uma proteção automática. A legislação prevê mecanismos de preservação de bens de capital essenciais à recuperação, mas imóveis alugados, por não pertencerem à empresa, não se enquadram necessariamente nessa proteção.

A Casas Bahia pode tentar demonstrar que determinado ponto é indispensável à continuidade da atividade e faz parte da lista de imóveis considerados estratégicos para estancar a dívida de R$ 17,3 bilhões, mas, segundo Verdant, a jurisprudência mais recente tende a privilegiar o direito de propriedade do locador.

O Grupo Casas Bahia ocupa hoje 1,07 milhão de m² em empreendimentos industriais e logísticos no Brasil, segundo levantamento da Newmark. O volume representa 2% de toda a área ocupada do segmento no país e está concentrado principalmente no estado de São Paulo.

Além de São Paulo, que soma 358 mil m² ocupados pela companhia, o grupo está presente no Rio de Janeiro (220,5 mil m²), em Minas Gerais (127 mil m²) e em Pernambuco (75 mil m²).

Do total ocupado, 84% estão em imóveis de alta especificação técnica -considerados de alto padrão- e 78% pertencem a fundos de investimento imobiliário (FIIs), o que amplia o interesse do mercado de capitais no desenrolar do processo.

Em São Paulo, a maior área ocupada pelo grupo está em Jundiaí, com 222 mil m², seguida por São Bernardo do Campo (93,7 mil m²), Ribeirão Preto (35,5 mil m²) e Cajamar (5,8 mil m²).

No mercado de escritórios corporativos, a área ocupada pela Casas Bahia soma cerca de 23 mil m², dos quais 16,5 mil m² estão na região da Berrini, um dos principais polos corporativos de São Paulo. Em uma simulação de desocupação do prédio ocupado pela companhia, a taxa de vacância da Berrini subiria de 14% para 16%.

Para Andréa Navarro, advogada especialista em direito empresarial e sócia do Ruzene Sociedade de Advogados, a dependência de imóveis alugados exige uma gestão individualizada dos contratos.
